A payment of PAYMENT will be sent to you within four to six weeks after final story acceptance and upon receipt of your invoice submitted in accordance with Network World's guidelines. The terms and conditions of this Agreement are as follows: 1) You acknowledge and agree that except as specifically set forth herein, you shall create certain original works of authorship, inventions, and other related material (collectively the ``Work'') for Network World, as commissioned by Network World as part of a visual work and under the terms and conditions set forth herein. It is acknowledged and agreed by the parties that the Work may contain software/source code (``Code''). Such Code shall be included as part of the Work. 2) You grant Network World the non-exclusive license to publish the Work as set forth herein. Network World shall own exclusive first worldwide rights to publish the Work, to prepare derivative works based upon the Work, and the right to transfer or license any of its rights, including but not limited to its right to republish, authorize the republication thereof, reproduce, display, perform, and otherwise make the Work available on or through Print or Electronic Media and any and all current or future methods or media of publication, retrieval or reproduction. Electronic Media includes, but is not limited to, the Internet, the World Wide Web, computer on-line services, computer bulletin boards, CD-ROM storage media, magnetic storage media, microfiche or microfilm media, facsimile, imaging systems, electronic mail, portable document formats and any other future format or media. Network World has the perpetual, non-exclusive right to continue utilizing the Work in the foregoing and any other manner and to copyright the same as it may determine in its sole and absolute discretion. 3) (a) Notwithstanding the foregoing, you shall have the right to use the Work, or submit the Work, or part of the Work, for inclusion in a computer program licensed by you or a third party under Free Software or Open Source terms, or for inclusion in a collective work including one or more computer programs licensed by you or a third party as Free Software. Use of all or part of the article itself, shall carry Network World's standard credit line, ``First published on LinuxWorld.com, a publication of Network World Inc., 118 Turnpike Rd., Southboro, MA 01772.'' 4) The Work shall be in publishable condition, as deemed by Network World's editor, in his/her sole discretion. Network World reserves the right, in its sole discretion, to reject the article or ask for reasonable changes needed to make the article publishable. You agree that you shall promptly make such changes as Network World may request. Network World shall have the right to edit, revise and adapt the Work and to cause others to make such changes in the Work as Network World may deem appropriate in order to prepare same for publication. You shall verify all facts in the Work and will furnish the checking material to Network World at Network World's request. Further, you shall provide Network World with the URL and/or identify the source of any and all Code that may be included or imbedded within the Work and/or any other information that Network World shall request related to the Code or any other part of the Work. Network World shall have the right to check the Work for accuracy and you agree that you shall be available and cooperate with Network World in its efforts to check the Work. 5) In any publication of the Work, Network World shall, or shall require any licensee to, refer to you as author of the Work and Network World may use or authorize the use of your name and pertinent biographical data in connection with the publication of, or promotion of the publication of the Work. 6) Upon acceptance of this assignment, you agree that you will not submit--for any publication--an article, column or any other written material that is similar to the Work (including but not limited to the same subject matter) or uses information contained in the Work for at least 90 days after first publication of the Work by Network World without the prior written consent of Network World. 7) You represent and warrant that your contributions to the Work (including any Code) shall be original, or should the Work contain any previously copyrighted material, you represent and warrant that you have obtained the appropriate releases and/permissions to use the material. You represent that you have the power and authority to enter into and perform the obligations hereunder and that you are not subject to any agreement which would affect your ability to enter into and/or perform under this Agreement, nor will your entering into this Agreement or the performance hereunder, violate the terms of any other agreement to which you are a party, including but not limited to a non-disclosure or software license agreement. 8) You agree to indemnify, defend and hold harmless Network World and its respective officers, directors, employees and affiliate, parent and subsidiary companies, and its licensees from any losses, costs, damages or expenses, including reasonable attorneys' fees, arising from any breach or alleged breach of your representations, warranties and obligations under this Agreement. Network World may rely conclusively on the truth of the warranties and representations set forth above in dealing with any third parties in connection with the disposition or licensing of any rights granted under this Agreement. Each of the foregoing warranties and representations shall survive the termination or expiration of this Agreement. 10) This Agreement shall be governed according to the laws and in the state and federal courts of the Commonwealth of Massachusetts. You agree to waive any objections to personal jurisdiction and venue of such courts. 11) In creating the Work, you shall be acting as an Independent Contractor and not as an agent or employee of Network World. You will be responsible for paying your own taxes on any amount paid to you by Network World. Network World has no responsibility to pay any withholding taxes on any amount paid to you by Network World.
